Terms of Service

⚠️ BY ACCESSING, REGISTERING FOR, OR USING AISLON'S SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND UNCONDITIONALLY AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE. CONTINUED USE CONSTITUTES ACCEPTANCE.

1. Definitions

  • "Service" refers to all products, features, applications, services, technologies, and software offered by Aislon, including but not limited to AI agents, automation tools, the Aislon platform, APIs, dashboards, integrations, and any related services.
  • "AI Agents" refers to the autonomous artificial intelligence employees, bots, automations, and intelligent systems provided through the Service, including named agents such as Weblito, Clide, Suki, Finny, Dota, Chip, Bora, and any custom agents.
  • "User," "You," or "Your" refers to any individual or entity accessing or using the Service.
  • "Company," "We," "Us," or "Aislon" refers to Aislon and its affiliates, subsidiaries, officers, directors, employees, agents, and licensors.
  • "User Content" refers to any data, text, images, documents, business data, customer data, credentials, API keys, or materials you provide to or through the Service.
  • "Output" refers to any content, responses, actions, communications, transactions, or results generated by AI Agents on your behalf.
  • "Third-Party Services" refers to external platforms, APIs, and services that AI Agents may interact with on your behalf, including but not limited to email providers, social media platforms, payment processors, CRM systems, and communication tools.
  • "Beta Features" refers to any features, services, or AI Agents designated as beta, preview, experimental, early access, or "newborn."

2. Eligibility and Acceptance of Terms

This Terms of Service agreement ("Agreement") constitutes a legally binding contract between you and Aislon. By accessing, registering for, or using any portion of the Service, you expressly acknowledge that you have read, understood, and agree to be bound by all terms and conditions herein, as well as our Privacy Policy, which is incorporated by reference.

Eligibility Requirements:

  • You must be at least 18 years of age to use the Service.
  • If you are under 18, you may not use the Service under any circumstances.
  • You must have the legal capacity to enter into binding contracts in your jurisdiction.
  • You must not be barred from using the Service under applicable law.
  • You must not be located in, or a resident of, any country subject to U.S. trade sanctions or embargoes.

If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these terms. If you do not have such authority, or if you do not agree with these terms, you must not accept this Agreement and may not use the Service.

3. Nature of AI Agent Services

Aislon provides AI Agents that perform automated tasks on your behalf. You expressly acknowledge and agree that:

  • AI Agents are autonomous systems. They make decisions and take actions based on algorithms, machine learning models, training data, and the parameters you configure. Aislon does not manually review, approve, or control individual actions taken by AI Agents in real-time.
  • Outputs are not guaranteed. AI Agents may produce results that are incomplete, inaccurate, inappropriate, biased, or unsuitable for your specific use case. AI Agents may hallucinate, make errors, or produce unexpected results.
  • AI Agents do not constitute professional advice. Outputs should not be construed as legal, financial, medical, tax, accounting, investment, or any other form of professional advice. Always consult qualified professionals for such matters.
  • You maintain sole responsibility for all decisions made based on AI Agent Outputs and for any consequences arising from use of the Service.
  • Human oversight is required. You agree to appropriately supervise and review AI Agent actions, especially for high-stakes decisions, customer-facing communications, financial transactions, and any actions with significant consequences.
  • AI Agents may act on your behalf by sending emails, posting content, responding to customers, initiating transactions, and taking other actions. You are fully responsible for these actions as if you had taken them yourself.

4. Beta and Experimental Features

Aislon may offer Beta Features that are still under development. By using Beta Features, you acknowledge and agree:

  • Beta Features are provided "AS IS" and "AS AVAILABLE" with no warranties whatsoever.
  • Beta Features may be unstable, contain bugs, errors, or defects, and may cause data loss or corruption.
  • Beta Features may be discontinued, modified, or removed at any time without notice.
  • Data processed through Beta Features may not be recoverable.
  • Aislon has no liability for any damages arising from your use of Beta Features.
  • You agree to provide feedback on Beta Features upon request, which Aislon may use without restriction.
  • Agents marked as "Newborn," "Early Access," or similar designations are Beta Features with limited capabilities.

5. Third-Party Services and Integrations

AI Agents may integrate with and perform actions through Third-Party Services. You acknowledge and agree:

  • Authorization: By connecting Third-Party Services, you authorize AI Agents to access, use, and perform actions through those services on your behalf.
  • Credentials: You may provide API keys, access tokens, passwords, or other credentials to enable integrations. You are solely responsible for the security and proper use of these credentials.
  • Third-Party Terms: Your use of Third-Party Services through Aislon is subject to the terms and policies of those third parties. Aislon is not responsible for Third-Party Service terms, policies, or practices.
  • No Endorsement: Aislon does not endorse, guarantee, or assume responsibility for any Third-Party Services.
  • Actions Are Irreversible: Some actions taken by AI Agents through Third-Party Services (such as sending emails, publishing posts, or executing transactions) may be irreversible. You bear all risk for such actions.
  • Third-Party Outages: Aislon is not responsible for outages, errors, or issues arising from Third-Party Services.
  • Data Sharing: When you connect Third-Party Services, data may flow between Aislon and those services. Review our Privacy Policy and the third party's privacy policy to understand data handling.

6. Limitation of Liability (READ CAREFULLY)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AISLON, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, revenue, business opportunities, or goodwill
  • Loss of data, data breach damages, or data corruption
  • Cost of procurement of substitute services
  • Damages arising from AI Agent Outputs, actions, errors, or omissions
  • Damages arising from actions taken through Third-Party Services
  • Damages arising from unauthorized access to your account
  • Reputational harm arising from AI Agent communications
  • Damages arising from Beta Features
  • Any other direct, indirect, or intangible losses

ARISING OUT OF OR RELATING TO THE USE OF, RELIANCE ON, OR INABILITY TO USE THE SERVICE, EVEN IF AISLON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL AISLON'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNTS ACTUALLY PAID BY YOU TO AISLON IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY OF OUTPUTS.

AISLON MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT AI AGENT OUTPUTS WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY PURPOSE.

7. Indemnification

You agree to indemnify, defend, and hold harmless Aislon and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and expert witness fees) arising from:

  • Your access to or use of the Service
  • Your violation of these Terms or any applicable law
  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
  • Actions taken by AI Agents on your behalf, including communications, transactions, and content published
  • User Content you provide to the Service
  • Any claims by your customers, employees, contractors, or third parties arising from AI Agent actions
  • Your use of Third-Party Services through Aislon
  • Your failure to obtain necessary consents for data processing
  • Any regulatory fines or penalties arising from your use of the Service
  • Your violation of export control or sanctions laws

This indemnification obligation will survive termination of this Agreement.

8. User Obligations and Prohibited Uses

You agree to use the Service solely for lawful purposes and in compliance with all applicable laws and regulations. You are strictly prohibited from:

  • Using the Service for any illegal, fraudulent, deceptive, or unauthorized purpose
  • Attempting to bypass, exploit, probe, or reverse-engineer any security mechanisms, algorithms, or AI models
  • Using the Service to store, process, or transmit malicious code, viruses, malware, or harmful data
  • Engaging in any activity that interferes with, disrupts, degrades, or places undue burden on the Service
  • Scraping, crawling, data mining, or extracting data from the Service for any purpose
  • Reselling, sublicensing, redistributing, or white-labeling the Service or AI Agent Outputs without express written consent
  • Using AI Agents to generate spam, unsolicited communications, misleading content, deepfakes, or disinformation
  • Using the Service to violate the privacy, publicity, or other rights of third parties
  • Attempting to train, fine-tune, distill, or create derivative AI models from the Service or its Outputs
  • Using the Service to compete with Aislon, benchmark against competitors, or develop competing products
  • Impersonating any person or entity or misrepresenting your affiliation with any person or entity
  • Circumventing usage limits, rate limits, quotas, or access restrictions
  • Sharing account credentials or allowing unauthorized access to your account
  • Using the Service in violation of export control laws, sanctions, or embargoes
  • Using the Service for any high-risk activities where failure could lead to death, injury, or significant harm without appropriate safeguards and human oversight
  • Using AI Agents to make autonomous decisions in regulated industries (financial services, healthcare, legal) without appropriate professional oversight
  • Harvesting or collecting information about other users without their consent
  • Using the Service in any manner that could damage, disable, or impair Aislon's systems or infrastructure

9. Intellectual Property Rights

All rights, title, and interest in and to the Service (excluding User Content) are and will remain the exclusive property of Aislon and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws worldwide.

Nothing in this Agreement grants you any right to use the Aislon name, trademarks, logos, domain names, AI Agent names (including but not limited to Weblito, Clide, Suki, Finny, Dota, Chip, Bora), AI Agent personas, or other distinctive brand features without express prior written permission.

AI Agent Outputs: Subject to your compliance with these Terms and payment of applicable fees, you retain rights to use Outputs generated specifically for your business purposes. However, Aislon retains all rights to the underlying AI models, algorithms, training methodologies, model weights, prompts, and technology used to generate such Outputs. Aislon may use anonymized and aggregated data, including Output patterns and usage data, to improve its products and services.

User Content License: By submitting User Content to the Service, you grant Aislon a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, process, store, modify, and analyze such content for the purpose of providing, improving, and developing the Service.

Feedback: If you provide Aislon with any feedback, suggestions, ideas, improvements, or other input regarding the Service ("Feedback"), you hereby assign to Aislon all rights in such Feedback. Aislon may use, disclose, reproduce, license, and otherwise exploit Feedback without restriction or compensation to you.

Confidentiality of Technology: You agree to treat the technical aspects of the Service, including AI model behavior, prompts, configurations, and system architecture, as confidential information. You may not disclose such information to third parties or use it for competitive purposes.

10. Acceptable Use of Outputs

You agree to use AI Agent Outputs responsibly and in compliance with all applicable laws. You may not:

  • Represent AI-generated content as human-created when disclosure is required by law or regulation
  • Use Outputs to deceive, defraud, or mislead any person
  • Use Outputs to create false testimonials, fake reviews, or misleading endorsements
  • Use Outputs to generate non-consensual intimate imagery or harassing content
  • Use Outputs in a manner that infringes third-party intellectual property rights
  • Use Outputs to facilitate illegal activities or circumvent legal obligations
  • Rely on Outputs as the sole basis for decisions with significant legal, financial, medical, or safety consequences without appropriate human review

11. Fair Use Policy

Aislon provides usage allocations under our subscription plans. To ensure fair access for all users and protect the integrity of the Service, we enforce the following:

  • Usage must be consistent with normal business operations and your selected plan tier
  • Automated or programmatic access that exceeds reasonable limits may be throttled, suspended, or terminated
  • Aislon reserves the right to define, modify, and enforce usage limits at its sole discretion without prior notice
  • Abuse of free tiers, trials, promotional offers, or referral programs may result in immediate account termination without refund
  • API access is subject to separate rate limiting terms and may be revoked for abuse
  • Creating multiple accounts to circumvent usage limits is strictly prohibited

Aislon reserves the right to suspend or terminate accounts that engage in excessive, abusive, or anomalous usage patterns without prior notice and without refund.

12. Payment, Billing, and Refunds

  • Subscription Fees: Paid subscriptions are billed in advance on a monthly or annual basis. All fees are quoted in USD unless otherwise specified and are non-refundable except as expressly stated herein.
  • Automatic Renewal: Subscriptions automatically renew at the then-current rate unless cancelled before the renewal date. You are responsible for cancelling your subscription if you wish to discontinue. Cancellation will be effective at the end of the current billing period.
  • Price Changes: Aislon reserves the right to change pricing at any time. Price changes for existing subscribers will take effect at the next renewal period following at least 30 days notice. Continued use after the price change constitutes acceptance.
  • No Refunds: All payments are final. We do not provide refunds for partial months, unused agent allocations, downgraded plans, or dissatisfaction with the Service. Exceptions may be made at Aislon's sole discretion on a case-by-case basis.
  • Taxes: All fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying all such taxes.
  • Failed Payments: If payment fails, your access to the Service may be immediately suspended or terminated. You remain responsible for all fees owed, including any collection costs or attorneys' fees.
  • Free Trials: Free trials may be offered at Aislon's discretion. Trial terms may differ from paid subscription terms. Aislon may limit eligibility for trials.

13. Account Security and Access

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use strong, unique passwords and enable all available security features (including two-factor authentication when available)
  • Notify Aislon immediately of any unauthorized access, security breach, or suspected compromise
  • Not share account credentials with unauthorized parties
  • Accept full responsibility for actions taken by anyone using your account, whether authorized or not
  • Ensure that any API keys or access tokens are stored securely and not exposed in public repositories or shared environments

Aislon shall not be liable for any loss or damage arising from unauthorized access to your account, regardless of whether such access resulted from your negligence or third-party actions.

14. Data and Privacy

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of information as described therein.

  • Data Controller: You are the data controller for personal data you provide about your customers, employees, or other individuals. You are responsible for ensuring lawful collection and processing of such data.
  • Consent: You represent that you have obtained all necessary consents and authorizations to provide personal data to the Service and to allow AI Agents to process and act upon such data.
  • Data Processing: Aislon may use anonymized and aggregated data for analytics, machine learning training, research, product development, and service improvement.
  • Third-Party Integrations: Aislon is not responsible for the data processing practices of Third-Party Services you connect.
  • Data Retention: Data retention and deletion are subject to our data policies and applicable legal requirements. We may retain certain data for legal, regulatory, or legitimate business purposes.
  • International Transfers: By using the Service, you consent to the transfer of your data to the United States and other countries where Aislon operates, which may have different data protection laws than your jurisdiction.

15. Export Controls and Sanctions Compliance

The Service may be subject to export control and sanctions laws, including but not limited to the U.S. Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), and sanctions administered by the Office of Foreign Assets Control (OFAC). You agree that:

  • You will not access or use the Service from any country, territory, or entity subject to U.S. trade sanctions or embargoes
  • You will not export, re-export, or transfer the Service or any technical data related to the Service in violation of applicable export control laws
  • You are not listed on any U.S. government denied-party list
  • You will not use the Service for any purposes prohibited by U.S. export control or sanctions laws

You agree to indemnify Aislon for any violations of export control or sanctions laws arising from your use of the Service.

16. Government and Enterprise Customers

If you are a government entity or enterprise customer with a separate written agreement with Aislon:

  • The terms of your written agreement shall govern to the extent they conflict with these Terms
  • These Terms apply to the extent they do not conflict with your written agreement
  • Government customers may be subject to additional terms regarding data residency, security certifications, and compliance requirements
  • Enterprise SLAs, if any, are defined in your written agreement and not these Terms

17. Termination

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation:

  • Breach or suspected breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Requests by law enforcement or government agencies
  • Unexpected technical, security, or legal issues
  • Discontinuation of the Service or any part thereof
  • Extended periods of inactivity
  • Conduct that Aislon determines, in its sole discretion, is harmful to Aislon, other users, or third parties

Effect of Termination:

  • Your right to use the Service will cease immediately
  • Any outstanding fees become immediately due and payable
  • Aislon may delete your account data after a reasonable period following termination (typically 30 days) and shall have no obligation to retain or provide any data to you
  • You must immediately destroy any copies of proprietary materials provided by Aislon

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification obligations, confidentiality requirements, and limitations of liability.

18. Service Availability and Modifications

  • No Uptime Guarantee: Unless you have a separate written SLA, Aislon does not guarantee that the Service will be uninterrupted, error-free, or available at all times. Scheduled maintenance, updates, and unforeseen issues may affect availability.
  • Service Changes: Aislon reserves the right to modify, update, suspend, or discontinue any part of the Service at any time without notice. We may add, remove, or change features, AI Agents, capabilities, or functionality. If we make material adverse changes, we will attempt to provide notice, but are not obligated to do so.
  • Third-Party Dependencies: The Service may rely on third-party services, APIs, and infrastructure. Aislon is not responsible for outages, errors, or issues caused by third-party providers.
  • No Liability for Modifications: Aislon shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

19. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE YOUR CLAIMS HEARD BY A JURY.

You and Aislon agree to resolve any disputes, claims, or controversies arising out of or relating to these Terms or the Service through final and binding individual arbitration rather than in court, except that either party may seek injunctive or equitable relief in court for infringement or misappropriation of intellectual property rights, breach of confidentiality obligations, or other urgent matters.

  • Class Action Waiver: YOU AND AISLON AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in class actions, class arbitrations, private attorney general actions, or representative actions.
  • Jury Trial Waiver: YOU AND AISLON HEREBY WAIVE ANY RIGHT TO A JURY TRIAL.
  • Arbitration Rules: Arbitration shall be conducted by a mutually agreed arbitration provider under its prevailing rules. If no agreement is reached, the American Arbitration Association (AAA) Commercial Arbitration Rules shall apply. The arbitration shall take place in the jurisdiction of Aislon's principal place of business or remotely, at Aislon's election.
  • Costs: Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise.
  • Time Limit: Any claim must be filed within one (1) year of the date the cause of action arose, or the claim is permanently barred.
  • Opt-Out: You may opt out of this arbitration provision by sending written notice to [email protected] within 30 days of first accepting these Terms.

20. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms (to the extent not subject to arbitration) shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in such courts.

21. Electronic Communications Consent

By using the Service, you consent to receive electronic communications from Aislon, including emails, in-app notifications, and text messages. These communications may include service announcements, billing information, promotional offers, and other information concerning your use of the Service. You agree that such electronic communications satisfy any legal requirement that communications be in writing.

22. Changes to Terms

We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time. Material changes will be notified via the Service, by email, or by posting a notice on our website. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service immediately. Your sole remedy for disagreement with the revised terms is to terminate your use of the Service.

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent, or if modification is not possible, shall be severed.

24. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Aislon concerning the Service. These Terms supersede all prior agreements, understandings, representations, and warranties, whether written or oral, regarding the Service. Any additional or different terms proposed by you are rejected unless expressly agreed to in writing by Aislon.

25. Waiver

The failure of Aislon to enforce any right or provision of these Terms will not be considered a waiver of those rights. Aislon's failure to exercise or delay in exercising any remedy shall not constitute a waiver of such remedy. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Aislon.

26. Assignment

You may not assign, delegate, or transfer these Terms or your rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. Any attempted assignment without consent will be null and void and of no effect. Aislon may freely assign or transfer these Terms without restriction and without notice, including in connection with a merger, acquisition, reorganization, or sale of assets.

27. Force Majeure

Aislon shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, embargoes, acts of civil or military authorities, fire, floods, earthquakes, pandemics, epidemics, labor disputes, failures of third-party providers, power outages, internet disruptions, cyberattacks, or government actions.

All notices to Aislon shall be in writing and sent to:

29. California Consumer Notice

Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: If you have a question or complaint regarding the Service, please contact us at [email protected].
